1. Agreement
These Terms of Service form a contract between the organisation using StationCortex ("you", "your", "Customer") and Xenon Radio Ltd ("we", "us", "our"). They apply to your use of StationCortex, including its website, software, TEX AI functionality, Sales Hunter, automation, communications, contracts, invoicing, campaigns and related services.
Our Privacy Notice and, where we process personal data for you, our Data Processing Termsalso apply.
2. Business use
StationCortex is supplied for business and professional use. You must be at least 18 and authorised to act for the radio station, broadcaster, media organisation or other business named on the account.
3. Accounts and security
- You must provide accurate account and station information.
- You are responsible for users you invite and the permissions you give them.
- Login credentials must not be shared outside authorised users.
- You must tell us promptly if you believe an account has been compromised.
- You remain responsible for activity carried out through your account unless caused by our breach.
4. Trials, subscriptions and payment
Free trial
New accounts may receive a time-limited trial and an included trial credit allowance. Trial features, limits and availability may differ from paid plans. A trial does not guarantee ongoing access after the stated trial period.
Paid plans
Paid subscriptions are charged at the price shown when you subscribe. Plan limits, included users, Cortex Credits and features are shown in the product and may vary by plan.
Unless otherwise stated at checkout, subscriptions continue until cancelled. We may change prices for future billing periods by giving reasonable notice. Non-payment may result in restriction or suspension of paid functionality.
Taxes, payment-provider charges or other amounts legally due may be added where applicable. Any refund rights required by law are unaffected.
5. Cortex Credits
Some intelligence and AI actions consume Cortex Credits. The number of credits used by an action is shown in StationCortex and may change as features evolve. Ordinary record management does not consume credits unless clearly stated.
- Included monthly credits reset according to the applicable plan.
- Purchased credits may be subject to separate terms displayed at purchase.
- Credits have no cash value and cannot be withdrawn or transferred unless we expressly agree.
- We may reverse credits obtained through error, fraud, abuse or unauthorised payment activity.
6. Acceptable use
You must not use StationCortex to:
- break the law or assist unlawful, fraudulent, deceptive or abusive activity;
- send unlawful spam, harassment, threats, discriminatory material or malicious content;
- upload content or data you have no right to use;
- circumvent credits, plan limits, security controls or access restrictions;
- probe, attack, overload, scrape or interfere with the Service;
- reverse engineer, copy or attempt to extract protected source code, models or proprietary systems except where law expressly permits;
- resell, sublicense or provide third-party access unless your plan or a written agreement allows it;
- use the Service to create or distribute malware or compromise another system.
7. Your data and customer information
You retain responsibility for information you upload or instruct StationCortex to process. You must have an appropriate lawful basis and authority for personal data relating to customers, prospects, staff and other individuals.
Where we process personal data on your behalf as a processor, the Data Processing Terms apply. We may separately act as controller for account, billing, security, fraud-prevention and service-administration information.
8. TEX, AI and automated assistance
TEX and other AI features are designed to support radio-station commercial work. They may use information available inside your Cortex account to produce drafts, summaries, research, recommendations and suggested next actions.
You are responsible for reviewing important outputs before sending, publishing or relying on them. AI outputs can be incomplete, outdated, inaccurate or unsuitable for a particular purpose.
Unless expressly stated otherwise, StationCortex does not make legally binding or similarly significant decisions about individuals solely through TEX. You must not configure or use our tools to make unlawful automated decisions.
9. Sales, leads and commercial results
StationCortex can help identify prospects, organise sales activity and generate commercial material. We do not guarantee that a lead will be accurate, respond, buy advertising, sign a contract, pay an invoice or generate any particular level of revenue, profit, audience or commercial success.
10. Intellectual property
StationCortex, TEX, our software, interfaces, branding, designs, documentation and proprietary technology are owned by us or our licensors. Your subscription gives you a limited, non-exclusive, non-transferable right to use the Service during your authorised subscription or trial.
You retain ownership of content and data you lawfully provide to the Service. You grant us the rights reasonably necessary to host, process, transmit and display that material to provide, secure and support StationCortex.
11. Third-party services
StationCortex may depend on third-party hosting, AI, mapping, email, payment, authentication or other services. Their availability and policies can affect parts of StationCortex. We are not responsible for third-party services outside our reasonable control, although we remain responsible for our own legal obligations when selecting and using processors.
12. Availability, maintenance and changes
We aim to keep StationCortex available and reliable but do not promise uninterrupted or error-free operation. Maintenance, security work, third-party outages and circumstances beyond reasonable control may interrupt access.
We may add, improve, replace or retire features. Where a material change significantly affects a paid service, we will take reasonable steps to give notice where appropriate.
13. Suspension and restriction
We may suspend or restrict an account where we reasonably believe this is necessary because of non-payment, fraud, unlawful use, a security threat, material breach of these Terms, attempted circumvention of limits or charges, risk to other users or risk to the integrity of StationCortex.
Where reasonably possible we will explain the reason and give you an opportunity to remedy the problem. We may act immediately where delay could create legal, security, financial or operational risk.
14. Ending the service
You may cancel in accordance with the cancellation controls or instructions shown in your account. We may terminate for a material breach that is not remedied within a reasonable period, or immediately for serious unlawful, fraudulent, abusive or security-threatening use.
On termination, access may end and data will be handled in accordance with our Privacy Notice and Data Processing Terms. You should export information you are required to retain before access ends.
15. Liability
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that applicable law requires us to bear.
Subject to the paragraph above, neither party will be liable for indirect or consequential loss. To the extent permitted by law, we are not responsible for loss of anticipated profit, anticipated revenue, goodwill or opportunity arising from business decisions made using the Service.
Subject to liabilities that cannot be limited, our aggregate liability arising out of the Service during any 12-month period will not exceed the fees paid or payable by you to us for StationCortex in that 12-month period.
This allocation of risk is intended for a business-to-business software service. It does not remove rights or remedies that applicable law says cannot be excluded.
16. Changes to these Terms
We may update these Terms to reflect legal, security, operational or product changes. The current version and effective date will be published here. Where a material change affects an existing paid relationship, we will provide reasonable notice and may require renewed acceptance.
17. Governing law and contact
These Terms are governed by the laws of England and Wales. The courts of England and Wales will have jurisdiction, subject to any mandatory law that requires otherwise.
